These Terms of Service ("Terms") govern your access to and use of Smart Manpower's website at smartmanpower.ae, HR software platform, and related services (collectively, the "Services"). Please read these Terms carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
Smart Manpower provides the following categories of services to UAE businesses:
The specific scope of services, deliverables, and terms for each engagement are set out in a separate Service Agreement or Statement of Work signed between Smart Manpower and the Client.
To access our HR software platform, you must register an account. You agree to:
Smart Manpower reserves the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.
Fees for Smart Manpower's services are set out in your individual service agreement. By engaging our services, you agree to:
Late payments may incur interest charges and may result in suspension of services. All fees are quoted in UAE Dirhams (AED) unless otherwise stated.
You agree to use Smart Manpower's Services only for lawful purposes and in accordance with these Terms. You must not:
Smart Manpower will handle all Client data, including employee personal data, with strict confidentiality. We act as a data processor on your behalf and will only process employee data in accordance with your instructions and applicable UAE data protection laws. Our full data handling practices are described in our Privacy Policy.
Both parties agree to keep confidential all proprietary information disclosed in connection with the services and not to disclose such information to third parties without prior written consent.
All intellectual property rights in Smart Manpower's software, platform, website, branding, and content are owned by Smart Manpower or its licensors. Your service agreement grants you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes only.
You retain ownership of all data and content that you upload to the Platform. By using the Platform, you grant Smart Manpower a limited licence to process your data solely for the purpose of providing the Services.
Smart Manpower aims to maintain high platform availability. However, we do not guarantee uninterrupted, error-free operation of the Platform. Scheduled maintenance windows will be communicated in advance where possible. Enterprise plan clients receive service level guarantees as set out in their individual Service Level Agreements.
Smart Manpower's Services are provided "as is" and "as available". To the maximum extent permitted by UAE law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive to ensure our payroll and compliance calculations are accurate and up to date with UAE regulations, Clients remain ultimately responsible for their own legal compliance and should verify all calculations where legally required.
To the maximum extent permitted by applicable UAE law, Smart Manpower's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by the Client to Smart Manpower in the three months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.
You agree to indemnify and hold harmless Smart Manpower and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate the service relationship in accordance with the notice provisions in the relevant Service Agreement. Smart Manpower may immediately suspend or terminate your access to the Platform if you breach these Terms or fail to make payment when due. Upon termination, we will provide a reasonable opportunity to export your data.
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating legal proceedings.
Smart Manpower reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, by email notification. Your continued use of the Services following changes constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
